Advertiser Terms & Conditions
These terms and conditions govern all agreements between Inspiring Holidays Ltd ('the publisher') and the displayer and/or purchaser of listings, lineage, advertising and/or sponsorship ('the client') to be displayed on the web site known as www.inspiringholidays.com ('the website').
Acceptance of Terms of Business
- The delivery of a form (by the provision of information by telephone, fax or letter and/or by filling in and e-mailing an on-line form to the publisher) signifies acceptance of these Terms of Business.
- The client accepts that the publisher gives no forecast or warranty as to the number of enquiries raised to the client in respect of any listing, lineage, advertising, web page(s), and/or sponsorship posted on the website on that client's behalf.
Fees & Payment
- The client will be charged in accordance with the rates set out by the publisher.
- The publisher reserves the right to alter the price for listings, lineage, advertising and/or sponsorship, discounts and special offers at any time and without notice. This is not applicable to existing agreements.
- The publisher accepts payment using the Google Checkout online payment system, by bank transfer or by a cheque drawn on a Sterling bank account. The publisher can accept payment into their bank account from abroad, however, they are charged a handling fee for this and the client will need to add approximately £xx to their payment. The Exact amount will be confirmed at time of payment.
- The publisher reserves the right to decline payment in any of the above forms of payment without notice to the client. The publisher reserves the right to withdraw any payment methods at any time.
- All advertisements must be paid in advance and adverts will not be placed on the website until payment has been received. Any leniency by the publisher, with respect to this payment, is entirely at its discretion.
- The publisher reserves the right to suspend indefinitely listings, lineage, advertising and/or sponsorship displayed on the website when payment is overdue.
Layout and Content
- The publisher reserves the right to
- Determine the final design, layout and navigation of the publisher’s website(s).
- Edit or amend copy, photographs, layouts or any other material supplied, should the publisher consider it necessary
- Remove links to other websites from advertising copy submitted
- The publisher reserves the right to reduce the number of photographs/graphics within a listing should they not be able to compress the client’s photos to a suitable size to enable efficient download times. The publisher will inform the client if this is the case.
- The publisher cannot be held responsible for any loss or damage resulting from the design or positioning of the advertisement.
- The publisher reserves the right to refuse an advert and will not be liable for the costs of doing so.
- The client shall not enter onto the website any of the following:
- Libellous, defamatory, critical or any information that would or might, for any reason whatsoever, give rise to an action in law against the client and/or the publisher;
- Untrue, misleading, rude, offensive, racist, sexist or any information that would or might cause offence or hurt to any person.
- All copy for listings, lineage, advertising and/or sponsorship must comply with the British Code of Advertising Practice. The publisher reserves the right to approve, amend or decline copy at their sole discretion and without explanation.
- Advertisements are accepted on the understanding that any descriptions of goods, services, stock etc. are accurate and comply with English law and the Trade Description Act 1968.
Site Copyright
- The publisher owns the copyright of any photograph it takes. These must not be reproduced without the publisher’s express permission.
- The client warrants that they own or control all rights or have obtained copyright, moral rights and similar permissions, consents, waivers as are required for the display of photographs, logos trademarks and other graphics provided to the publisher.
- The client warrants that no copyright or moral rights or any other rights of a similar nature now existent or hereinafter created will be infringed by the publisher publishing the copy provided.
Limitation of Liability
- The publisher accepts no liability for loss, however caused, through omission from the website, typographical errors or late publication or failure from any cause, whether error, technical, late publication or failure to display listings, lineage, advertising and/or sponsorship.
Indemnity
- The client hereby agrees to indemnify, defend and hold the publisher harmless for all losses, damages, claims or expenses (including legal costs) which the publisher may reasonably incur by virtue of any breach of the above warranties or in the event of any claim (whether or not proceedings are issued) by any party against the publisher that any copyright or moral rights or any other rights of a similar nature have been infringed by the publisher or that the publisher have induced, encouraged, authorised or otherwise been associated with such infringement.
- In any event, the publisher's liability for any loss or damage whether caused by negligence or otherwise will be limited to the cost of any listings, lineage, advertising and/or sponsorship and the publisher will not be liable for any consequential loss or damage or loss of profit of the purchaser or of any other party nor be liable for any other loss however suffered.
Provision of Service
- The publisher uses their reasonable skill and care in operating the website and in providing the Services. However, they make no representation and exclude any warranty, express or implied, as to the availability, quality, accuracy, timeliness, completeness, performance or fitness of the website or the Services. The website is provided on an "as is" and "as available" basis and the publisher does not warrant that the client or any users will be able to access the website at all times or that it will be absolutely secure, uninterrupted or free from infection and viruses. The publisher will not be responsible for the client’s failure to provide services as a result of the client’s inclusion on the website, for errors that relate to the provision of the client’s services, or for technical problems that may hinder the efficacy of the website.
Advertisers Responsibilities
- Bookings and determination of customer suitability are the sole responsibility of the client. The publisher cannot be held responsible for any contract made between the client and their customers.
- The client agrees to promptly advise the publisher of any changes in their personal contact details
- The publisher is unable to guarantee that the integrity of listings/web pages posted on the website will be maintained and it is the sole responsibility of the client to check their listings on a regular basis and to inform the publisher accordingly if any corruption has occurred. The publisher will, in such circumstances, endeavour to restore the listing/web pages to the original state as soon as reasonably practical.
Termination
- The listing will be placed for a term - typically 12 months. The publisher will advise the client when the listing commences (i.e. when it is live on the site) and when it terminates (one year less one day from advertisement commencement date).
- Either party can terminate the agreement on a breach of any clause of this agreement. If the publisher is in breach, then they will refund the proportional amount of remaining time plus one month. If the client is in breach the publisher will remove the client’s advert from the site immediately and no refund will be given.
- The client can request that their advert be removed at any time, but if the publisher has met the terms of this agreement then no refund will be given.
- If the listings and other services are discontinued without allowing the term to be completed, the publisher's liability shall be limited to the price of the listing/web page(s) paid by the client in the year in which the liability occurred.
Governing Law and Jurisdiction
- These terms shall be governed by and interpreted in accordance with English law.
- The parties irrevocably agree that the courts of England shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute, which may arise out of, under, or in connection with these terms and conditions.
- The publisher shall retain, for their exclusive benefit, the right to bring proceedings as to the substance of the matter in the courts of the country of the client’s residence or, where these terms are entered into in the course of the client’s trade or profession, the country of the client’s principal place of business.
Variation
- Any variation of these terms by the client must be agreed in writing between the client and the publisher. The publisher reserves the right to alter or amend these terms at any time without notice.
